ÖZET : Uyuşmazlık; tacir olan taraflar arasında akdedilen kira sözleşmesi gereğince sözleşmeden kaynaklanan alacağa aylık %10 gecikme faiz uygulanacağına ilişkin hükmün geçerli olup olmadığına ilikindir. Somut olayda, kira sözleşmesinden kaynaklanan alacağın tamamının süresinde ödenmediği, tarafların tacir olduğu hususunda bir uyuşmazlık bulunmamaktadır. 01/07/2012 tarihinde yürürlüğe giren 6102 sayılı TTK’nın 8/1. maddesinde ticari işlerde faiz oranının serbestçe belirleneceği hükmüne aynı maddenin 3. fıkrasında tüketicinin korunmasına ilişkin hükümlerin saklı tutulacağına ilişkin bir istisna getirilmiş ise de başkaca bir istisna bulunmamaktadır. Aynı Kanunun 9. maddesinde, ticari işlerde kanuni, anapara ile temerrüt faizi hakkında ilgili mevzuat hükümlerinin uygulanacağı hükme bağlanmıştır. Anılan yasa hükmünde sözü edilen ilgili mevzuatın 3095 sayılı yasa hükümleri olduğunun, akdi faiz oranı yönünden bir sınırlama getirmediğinin ve 6102 sayılı TTK’nın 8. ve 9. maddelerinin ticari işler bakımından özel hüküm niteliğinde olup ticari işlerde bu hükümlerin uygulanması gerektiğinin, başka bir anlatımla 6098 sayılı TBK’nın 88. ve 120. maddeleri hükümlerinin ticari işlerde uygulanamayacağının kabulü gerekir. O halde, Mahkemenin tacir olan taraflar arasında kararlaştırılan faiz oranı dikkate alınarak hükmedilen miktara %10 akdi faiz oranı uygulanmasına ilişkin kararı açıklanan nedenlerle usul ve yasaya uygun olup direnme kararının açıklanan nedenlerle onanması gerekmiştir.
DAVA : Taraflar arasındaki “menfi tespit, alacak ve tazminat” davasından dolayı yapılan yargılama sonunda; Ankara 4. Asliye Ticaret Mahkemesince asıl davanın reddine, karşı davanın kısmen kabulüne dair verilen 14.02.2012 gün ve 2010/32 E. 2012/38 K. sayılı kararın incelenmesi taraf vekilleri tarafından istenilmesi üzerine Yargıtay 6. Hukuk Dairesinin 09.10.2012 gün ve 2012/9769 E., 2012/13041 K. sayılı ilamı ile;
(… Uyuşmazlık, asıl davada sözleşme gereğince teminat olarak verilen 50.000 TL bedelli çekin aynen iadesi, mümkün olmaması halinde iptali, karşılık davada ise kiralanan makineler nedeniyle kira alacağı ve tazminatın tahsiline ilişkindir. Mahkemece asıl davanın reddine, karşılık davanın kısmen kabulü ile 56.116.70 TL alacağın sözleşme gereği aylık % 10 faizi ile davacı- karşı davalıdan tahsiline karar verilmesi üzerine hüküm davacı- karşı davalı vekili ve davalı -karşı davacı vekili tarafından ayrı ayrı temyiz edilmiştir.
1-Dosya kapsamına, toplanan delillere, mevcut deliller mahkemece takdir edilerek karar verilmiş olmasına, takdirde de bir isabetsizlik bulunmamasına göre temyiz eden davalı- karşı davacının tüm ve davacı – karşı davalının aşağıdaki bendin kapsamı dışında kalan temyiz itirazları yerinde değildir.
2-Davacı–karşı davalının hüküm altına alınan faize ilişkin temyiz itirazlarına gelince ;
Davada dayanılan ve hükme esas alınan 20.10.2009 başlangıç tarihli ve onbeş gün süreli kira sözleşmesi konusunda taraflar arasında uyuşmazlık bulunmamaktadır. Sözleşmenin özel şartlar bölümü 6. maddesinde sözleşme imza tarihinden itibaren aylık kiraların peşin ödenmek istenmemesi veya gecikmesi durumunda tahakkuk ettiği tarihten itibaren geciken günler için ödeneceği tarihe kadar her ay hesaplanarak ilave edilmek kaydıyla peşin olarak % 10 akdi faiz uygulanacağı kararlaştırılmıştır. Mahkemece de yapılan yargılama sonucu hüküm altına alınan alacağa ilişkin olarak akdi % 10 faiz uygulanmasına hükmedilmiştir. Bununla birlikte 1.7.2012 tarihinde yürürlüğe giren 6098 Sayılı Türk Borçlar Kanunu’nun yürürlüğü ve uygulama şekli hakkındaki 6101 Sayılı Kanun’un 7. maddesinde Türk Borçlar Kanunu’nun kamu düzenine ve genel ahlaka ilişkin kuralları ile geçici ödemelere ilişkin 76. faize ilişkin 88. temerrüt faizine ilişkin 120. ve aşırı ifa güçlüğüne ilişkin 138. maddelerinin görülmekte olan davalarda da uygulanacağı hüküm altına alınmıştır. Bu durumda 818 Sayılı Borçlar Kanunu’nun 88. maddesinde düzenlenen faiz konusunun davanın halen derdest olması karşısında 6098 Sayılı Türk Borçlar Kanunu çerçevesinde değerlendirilerek bir karar verilmesi yönünden hükmün bozulması gerekmiştir…),
Gerekçesiyle ( 1 ) numaralı bentte yazılı nedenlerle asıl davanın reddine ilişkin hüküm kısmının onanmasına, davacı- karşı davalı vekilinin temyiz itirazlarının kabulü ile hükmün yukarıda ( 2 ) numaralı bentte yazılı nedenlerle bozularak dosya yerine geri çevrilmekle, yeniden yapılan yargılama sonunda, mahkemece önceki kararda direnilmiştir.
Hukuk Genel Kurulunca incelenerek direnme kararının süresinde temyiz edildiği anlaşıldıktan ve dosyadaki kağıtlar okunduktan sonra gereği görüşüldü:
KARAR : Dava; kira sözleşmesi gereğince teminat olarak verilen 50.000 TL bedelli çekin aynen iadesi, mümkün olmaması halinde iptali, karşılık dava; kiralanan makineler nedeniyle kira alacağı ve tazminat istemine ilişkindir.
Davacı vekili, müvekkilinin davalıdan makine ve ekipmanlar kiraladığını, kiralanan makinelerin teslim edilmesine ve kira bedelinin ödenmesine rağmen davalıya teminat olarak verilen çeklerden birinin iade edilmediğini ileri sürerek çekin aynen iadesine aksi halde iptaline karar verilmesini istemiştir.
Davalı vekili, kira sözleşmesi ile davacıya kiralanan makine ve ekipmanların arızalı olarak teslim edildiğini, makinelerde değer kaybı oluştuğunu, halen alacağının bulunması nedeniyle çekin iade edilmediğini belirterek davanın reddine karar verilmesini savunmuş karşı dava ile; makine ve teçhizat kiralama sözleşmesi uyarınca hasarlı olarak süresinden sonra teslim edilen ekipmanlar nedeniyle, 6.874,70TL tamir bedeli, 41.492,00TL makine değer kaybı ve 51.633,30TL kira bedelinin aylık %10 vade farkı ile birlikte davalıdan tahsilini talep ve dava etmiştir.
Davacı karşı davalı vekili, makine ve ekipmanların 15 gün süre ile kiralandığını, davacının talimatı doğrultusunda süresinde teslim edildiğini, karşılığında 36.000,00TL ödeme yapıldığını, aylık %10 vade farkı istenmesinin ahlaka ve adaba aykırı olduğunu, yasal bir talep olmadığını belirterek karşı davanın reddini savunmuştur.
Yerel mahkemece; davalı karşı davacının kira bedeli alacağının 7.750,00TL, değer kaybının 41.492,00TL, tamir için yapılan masrafın da 6.874,70TL olduğu, servis cevabına göre bu bedelin karşı davacı tarafından ödendiği, sözleşmeye göre kiracı tarafından karşılanması gerektiği, sözleşmenin 6.maddesi uyarınca alacak için aylık %10 faiz oranının kararlaştırıldığı, tarafların tacir oldukları gözetilerek faiz oranını serbestçe belirleyebilecekleri gerekçesiyle asıl davanın reddine, karşı davanın kısmen kabulü ile 56.116,70TL’nin karşı dava tarihi olan 26/01/2010 tarihinden itibaren işleyecek aylık %10 faizi ile birlikte davalıdan alınıp davacıya verilmesine dair verilen karar yukarıda belirtilen gerekçelerle Özel Dairece bozulmuş, mahkemece, önceki nedenlerle ve ticari işlerde faiz oranının serbestçe kararlaştırılabileceği gerekçesiyle direnilmiştir.
Direnme kararı davacı karşı davalı vekili tarafından temyiz edilmiştir.
Direnme yoluyla Hukuk Genel Kurulu önüne gelen uyuşmazlık; tacir olan taraflar arasında akdedilen kira sözleşmesi gereğince sözleşmeden kaynaklanan alacağa aylık %10 gecikme faiz uygulanacağına ilişkin hükmün, 01.07.2012 tarihinde yürürlüğe giren 6098 sayılı Türk Borçlar Kanunu’nun Yürürlüğü ve Uygulama Şekli Hakkındaki 6101 sayılı Kanun’un 7. maddesinde Türk Borçlar Kanunu’nun kamu düzenine ve genel ahlaka ilişkin kuralları ile geçici ödemelere ilişkin 76., faize ilişkin 88., temerrüt faizine ilişkin 120. ve aşırı ifa güçlüğüne ilişkin 138. maddelerinin görülmekte olan davalarda da uygulanacağının hüküm altına alınması durumunda geçerli olup olmayacağı noktasında toplanmaktadır.
Öncelikle konunun çözüme kavuşturulması bakımından faiz kavramı ve yasal dayanakları üzerinde durulmasında yarar bulunmaktadır.
Faiz; para alacağının medeni semeresidir. Başka bir ifade ile faiz, ödünç akdi veya başka bir hukuki muamele yahut fiil neticesinde başka bir kimseden alacaklı duruma geçen kimsenin para alacağının karşılığı ve bir nevi ücret ve kirası olarak tanımlanmaktadır. (Domaniç Hayri Türk Ticaret Kanunu Şerhi, C:1,S:41). Bu tanım, faizin genel tanımı olup, faizin türlerine göre çeşitli eklemelerle değişiklik gösterebilmektedir Faiz borcu, asıl alacaktan ayrı fakat ona bağlı bir yan edimdir. Faiz borçları asıl alacağın varlığına bağlıdır ve asıl alacak sona erdiğinde faiz borcu da sona erer (TBK’nun 131/1, BK’nun.113/2. Maddesi).
Uygulama ve öğretide baskın görüş olarak, temerrüt (gecikme) faizinin hukuki niteliği, borçlunun para borcunu zamanında ödememesi ve temerrüde düşmesi üzerine kanun gereği kendiliğinden işlemeye başlayan ve temerrüdün devamı müddetinde varlığını sürdüren, alacaklının zararın varlığını ve miktarını ve borçlunun kusurunu ispat zorunda kalmaksızın borçlunun ödediği ve miktarı yasalarla belirlenmiş asgari, maktu bir tazminat olduğu kabul edilmektedir. Bu tanımın, gecikme zammını da içerdiği kabul edilmektedir.
Nitekim Yargıtay Hukuk Genel Kurulunun 11.6.1997 gün ve 1997/11-278 E. 529 K.; 18.11.2009 gün ve 2009/21-435 E. – 544 K. sayılı ilamlarında da aynı hususlar vurgulanmıştır.
Yargılama sırasında yürürlüğe giren 6098 sayılı Türk Borçlar Kanunu’nun 88. maddesinin “Faiz ödeme borcunda uygulanacak yıllık faiz oranı, sözleşmede kararlaştırılmamışsa faiz borcunun doğduğu tarihte yürürlükte olan mevzuat hükümlerine göre belirlenir. Sözleşme ile kararlaştırılacak yıllık faiz oranı, birinci fıkra uyarınca belirlenen yıllık faiz oranının yüzde elli fazlasını aşamaz.” hükmünü içermesinin yanı sıra, temerrüt faizine ilişkin 120. maddesinde de; “Uygulanacak yıllık temerrüt faizi oranı, sözleşmede kararlaştırılmamışsa, faiz borcunun doğduğu tarihte yürürlükte olan mevzuat hükümlerine göre belirlenir. Sözleşme ile kararlaştırılacak yıllık temerrüt faizi oranı, birinci fıkra uyarınca belirlenen yıllık faiz oranının yüzde yüz fazlasını aşamaz. Akdî faiz oranı kararlaştırılmakla birlikte sözleşmede temerrüt faizi kararlaştırılmamışsa ve yıllık akdî faiz oranı da birinci fıkrada belirtilen faiz oranından fazla ise, temerrüt faizi oranı hakkında akdî faiz oranı geçerli olur.” hükmüne yer verilmiştir.
Öte yandan, ticari işlere ilişkin düzenlemelerin bulunduğu 6102 sayılı Türk Ticaret Kanununun 8/1. maddesinde; ticari işlerde faiz oranının serbestçe belirleneceği, 9/1. maddesinde; ticari işlerde kanuni, anapara ile temerrüt faizi hakkında ilgili mevzuat hükümlerinin uygulanacağı hükme bağlanmış olup bu maddede gönderme yapılan ilgili mevzuat 3095 sayılı Kanuni Faiz ve Temerrüt Faizine İlişkin Kanundur. 3095 sayılı Kanunun 1/1. maddesinde, Borçlar Kanunu ve Türk Ticaret Kanunu’na göre faiz ödenmesi gereken hallerde, miktarı sözleşme ile tespit edilmemişse faiz oranının yıllık % 12 olacağı düzenlenmiştir. Fakat Bakanlar Kurulu, Kanun’un 1/2 maddesinden aldığı yetkiye dayanarak 01.01.2006 tarihinden itibaren geçerli olmak üzere ticari işlerde kanuni faiz oranını % 9’a indirmiştir.
Görüldüğü üzere Türk Ticaret Kanunu ve 3095 sayılı Kanun’da ticari işlerde akdi faizi sınırlayacak bir hüküm bulunmamaktadır.
6102 Sayılı TTK’nın 8. ve 9. maddelerinin gerekçesinde; ticarî işlerde faiz oranının serbestçe tayin olunacağının Türk Ticaret Kanununda temel bir ilke olarak yer alması gerektiği, ticarî işlerde temel bir kanun olarak Türk Ticaret Kanununun konunun düzenlenmesi gereken yer olduğu, ayrıca bir kanunun sadece kendi kapsamındaki konuları düzenlemesi, bunlara ilişkin hüküm koyması gerektiği, bu sebeple hükmün 6762 sayılı Kanunda olduğu gibi ticarî işlere özgülendiği, 6762 sayılı Kanunda kullanılan “tayin olunabilir” ibaresinin ilke ile bağdaşmayan gereksiz bir esnekliğe yer verdiği, ilkenin tam olarak öngörülebilmesi için kesin bir ifade kullanılması gerektiğinden “belirlenir” şeklinde düzeltildiği vurgulanmıştır.
Somut olayda taraflar tacir olup “Ekipman (Makine ve Teçhizat) Kira Sözleşmesi” ile enerji iletim hattı işinde kullanılmak üzere bir kısım makineler davacı karşı davalı tarafından, davalı karşı davacıdan kiralanmış, kira sözleşmesinin 6. maddesi ile kiracı borçlarının peşinen ödenmek istenmemesi veya gecikmesi durumunda tahakkuk ettiği tarihten itibaren geciken günler için ödeneceği tarihe kadar her ay hesaplanarak ilave edilmek kaydıyla peşin olarak %10 akdi faiz uygulanacağı kararlaştırılmıştır. Kira sözleşmesi gereğince kira sözleşmesinden kaynaklanan alacağın tamamının süresinde ödenmediği, tarafların tacir olduğu hususunda bir uyuşmazlık bulunmamaktadır. 01/07/2012 tarihinde yürürlüğe giren 6102 sayılı TTK’nın 8/1. maddesinde ticari işlerde faiz oranının serbestçe belirleneceği hükmüne aynı maddenin 3. fıkrasında tüketicinin korunmasına ilişkin hükümlerin saklı tutulacağına ilişkin bir istisna getirilmiş ise de başkaca bir istisna bulunmamaktadır. Aynı Kanunun 9. maddesinde, ticari işlerde kanuni, anapara ile temerrüt faizi hakkında ilgili mevzuat hükümlerinin uygulanacağı hükme bağlanmıştır. Anılan yasa hükmünde sözü edilen ilgili mevzuatın 3095 sayılı yasa hükümleri olduğunun, akdi faiz oranı yönünden bir sınırlama getirmediğinin ve 6102 sayılı TTK’nın 8. ve 9. maddelerinin ticari işler bakımından özel hüküm niteliğinde olup ticari işlerde bu hükümlerin uygulanması gerektiğinin, başka bir anlatımla 6098 sayılı TBK’nın 88. ve 120. maddeleri hükümlerinin ticari işlerde uygulanamayacağının kabulü gerekir.
Hukuk Genel Kurulunda yapılan görüşmeler sırasında bir kısım üyelerce 01.07. 2012 tarihinde yürürlüğe giren 6098 sayılı Türk Borçlar Kanunu’nun “KİRACI ALEYHİNE DÜZENLEME YASAĞI” başlıklı 346. maddesinin, “kiracıya, kira bedeli ve yan giderler dışında başka bir ödeme yükümlülüğü getirilemez. Özellikle, kira bedelinin zamanında ödenmemesi hâlinde ceza koşulu ödeneceğine veya sonraki kira bedellerinin muaccel olacağına ilişkin anlaşmalar geçersizdir.”hükmü gereğince kiracı aleyhine düzenleme yapılamayacağı, mahkeme kararının Özel Daire bozma kararı doğrultusunda bozulması gerektiği görüşü dile getirilmiş ise de bu görüş Kurul çoğunluğu tarafından somut olayda tarafların tacir olup ticari işlerde faiz oranının serbestçe belirleneceği gerekçesiyle kabul edilmemiştir.
O halde, Mahkemenin tacir olan taraflar arasında kararlaştırılan faiz oranı dikkate alınarak hükmedilen miktara %10 akdi faiz oranı uygulanmasına ilişkin kararı açıklanan nedenlerle usul ve yasaya uygun olup direnme kararının açıklanan nedenlerle onanması gerekmiştir.
SONUÇ : Davacı karşı davalı vekilinin temyiz itirazlarının reddi ile yukarıda açıklanan nedenlerle direnme kararının ONANMASINA, gerekli temyiz ilam harcı peşin alınmış olduğundan başkaca harç alınmasına mahal olmadığına, 15.05.2015 gününde oyçokluğu ile karar verildi.
